INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement ("Agreement") is entered into by and between Great Lakes Site Detailing ("Company") and the undersigned independent service provider ("Contractor").

Independent Contractor Status

The Contractor explicitly acknowledges and agrees that their relationship with the Company is that of an Independent Contractor (1099 status), and not an employee, partner, or agent.

Taxes: The Contractor is solely responsible for all federal, state, and local taxes, self-employment taxes, withholding, and social security payments. The Company will not withhold any taxes from payments and will issue a Form 1099-NEC at the end of the tax year if required by law.
No Benefits: The Contractor is not eligible for, nor entitled to, any employee benefits, including but not limited to health insurance, paid time off, workers' compensation, or unemployment benefits from the Company.

Operations, Equipment, and Control

The Contractor retains absolute control over the manner, methods, and means used to perform all contracted cleaning and site detailing services.

Supplies & Equipment: The Contractor agrees to provide all of their own professional-grade cleaning supplies, equipment, tools, and materials necessary to complete the assignments to industry standards.
Transportation: The Contractor must provide their own reliable, professional transport to and from all service locations.
Scheduling: The Contractor has full autonomy to accept or decline any service assignments offered by the Company based on their own availability.

Business Licensing and Liability Insurance

To protect both parties and the clients served, the Contractor agrees to the following compliance standards:

Licensing: The Contractor certifies they hold and will maintain all necessary local business registrations or licenses required to operate their independent business legally.
Insurance: The Contractor agrees to obtain and maintain an active General Liability Insurance policy with a minimum coverage limit of $1,000,000 per occurrence. The Contractor agrees to provide proof of this insurance to the Company prior to accepting their first service assignment.

Client Confidentiality and Professionalism

Confidential Information: The Contractor will have access to sensitive client information, including gate codes, lockbox combinations, security details, and commercial facility access protocols. The Contractor agrees to keep all such information strictly confidential and will never share it with outside parties.
Direct Solicitation: The Contractor agrees that they will not directly solicit, bypass, or contract privately with any clients introduced to them by the Company during the term of this Agreement and for a period of one (1) year following its termination.

Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party. Upon termination, any active or accepted service assignments must either be completed to standard or formally reassigned by the Company.
